- Dispute Resolution
- Please read this Arbitration Agreement carefully. It is part of your contract with us and affects your rights. It contains procedures for MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
- Arbitration: Any and all disputes arising under this Agreement shall be subject to mandatory and binding arbitration. Said arbitration shall take place in the Commonwealth of Virginia, USA. Neither party shall have any right to bring an action relating to this Agreement in a court of law, except insofar as to either enforce or appeal the results of any such arbitration. In any such arbitration, and subsequent court action, the prevailing party shall be entitled to collect its fees and costs associated therewith from the non-prevailing party.
- Governing Law: This Agreement shall be governed by the laws of the Commonwealth of Virginia, USA, without giving effect to conflict of law provisions thereof. All questions with respect to the construction of this Agreement or the rights and liabilities of the parties hereunder shall be determined in accordance with the laws of the Commonwealth of Virginia, USA.
- Jurisdiction: All disputes arising out of or relating to this Agreement will be subject to the exclusive jurisdiction and venue of the courts located in the Commonwealth of Virginia, USA, and the federal courts located in the Commonwealth of Virginia, USA. Any legal action taken or to be taken by either party regarding this Agreement or the rights and liabilities of parties hereunder shall be brought only before a federal, state or local court of competent jurisdiction located within the Commonwealth of Virginia, USA. Each Party hereby submits to the jurisdiction of the aforesaid courts and waives any right to challenge or otherwise object to personal jurisdiction or venue, including any forum non conveniens challenge, in connection with any action commenced or maintained in the aforesaid courts. Each party hereto irrevocably and unconditionally waives the right to a trial by jury in any action, suit, or proceeding relating to a dispute arising out of or relating to this agreement and for any counterclaim with respect thereto.
- Equitable Relief: Each Party hereto agrees that any violation or threatened violation of this Agreement may cause irreparable material injury to the other Party not compensable in money damages and that, in the event of any breach of this Agreement, in addition to all other applicable remedies, each Party shall be entitled to seek equitable relief (including a temporary restraining order and injunctive relief), without being required to prove damages or furnish any bond or other security, and that other Party will not oppose the granting of such relief or seek any bond or other security.
- Waiver of Jury Trial: THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, instead electing that all claims and disputes shall be resolved by arbitration under this Arbitration Agreement. Arbitration procedures are typically more limited, more efficient and less costly than rules applicable in a court and are subject to very limited review by a court. In the event any litigation should arise between you and the Company in any state or federal court in a suit to vacate or enforce an arbitration award or otherwise, YOU AND THE COMPANY WAIVE ALL RIGHTS TO A JURY TRIAL, instead electing that the dispute be resolved by a judge.
- Waiver of Class or Consolidated Actions: ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.
